Partnership Agreement
This Partnership Agreement (hereinafter referred to as the "Agreement") defines the terms of cooperation between Lugela Sales LLC, registration number 416359443 (hereinafter referred to as the "Company") and an individual or legal entity who has registered an account, accepted this Agreement, and obtained the status of LUGELA LIVE Partner (hereinafter referred to as the "Partner").
1. Terms and General Provisions
1.1. The "LUGELA LIVE Partnership Program" / "Program" is a system of good-faith cooperation under which the Partner has the right to recommend products, attract customers and new Partners, and receive rewards as provided by the current Marketing Plan upon meeting established conditions.
1.2. The "Partner Cabinet" is the Partner’s account in the Company’s information system containing their partner ID, available functions, calculations, transaction history, and other data provided by the system's functionality.
1.3. The "Partner Structure" is a technical representation of relationships between Partners for accounting and calculation purposes according to the Marketing Plan. The Partner Structure is not the property of the Partner and does not create property or other rights over other Partners or their cabinets.
1.4. The "Marketing Plan" means the rules published by the Company for calculating partner rewards, qualifications, and other economic indicators of the Program.
1.5. The "Official Rules" include this Agreement, the Marketing Plan, published rules of promotions and ratings, brand usage rules, the Code of Ethics, and other documents that the Company defines as mandatory in the relevant part.
1.6. Participation in the Program is voluntary. The Partner independently determines the scope of their activity within the Official Rules and applicable law.
2. Signing the Agreement and Electronic Form
2.1. This Agreement represents the standard terms and offer pre-formulated by the Company for persons meeting the participation conditions.
2.2. The Partner is given the opportunity to review the current version of the Agreement and related mandatory rules, as well as to save and use them electronically.
2.3. Acceptance of the Agreement is carried out by the Partner’s electronic action through the registration form or personal cabinet. The Company may record the version of the Agreement, date and time of acceptance, and technical information necessary to confirm acceptance.
2.4. If the Partner is a legal entity, the person accepting the Agreement on its behalf must have the appropriate authority. The Company may request documents confirming such authority.
2.5. The Partnership Program is not intended for minors unless otherwise expressly permitted by applicable law and Company rules.
3. Nature of Relations and Voluntariness
3.1. The Partner acts independently and at their own risk. They are not an employee, agent, sales representative, or other representative of the Company and do not have the authority to bind the Company by any commitments in writing or orally.
3.2. This Agreement does not establish a fixed work schedule, mandatory daily activity, required volume of personal sales, or number of invited persons as conditions to retain Partner status.
3.3. The Company may establish additional qualification, rating, and bonus programs if their conditions are published and participation is carried out according to set rules.
3.4. The Company does not guarantee the Partner income, profit, return on investment, or achievement of a certain qualification. The economic result depends on real lawful sales and other published indicators.
4. One Partner Cabinet — One Registered Partner
4.1. One Partner Cabinet and one ID are registered to one Partner — an individual or legal entity.
4.2. One cabinet cannot simultaneously belong to multiple persons under joint ownership, joint management, or other similar grounds.
4.3. If the Partner is a legal entity, the cabinet owner is the legal entity itself. Individuals may act on its behalf only within lawful authority.
4.4. A team may publicly use a certain name and have multiple leaders or mentors, but this does not create shared rights over a Partner Cabinet for such persons.
4.5. Terms such as "leader", "subleader", "team leader", "mentor", and similar denote organizational roles and do not represent ownership or other property rights over another Partner’s cabinet.
4.6. Administrative and financial actions concerning the cabinet, including data changes, withdrawal requests, access recovery, termination of participation, and other actions, are carried out by the registered Partner or their duly authorized representative.
4.7. Another person may represent the Partner before the Company only with lawful and Company-recognized authority.
4.8. Cabinet transfer or Partner replacement is allowed only on legal grounds, following submission of necessary documents, and official Company confirmation.
4.9. In case of dispute regarding cabinet management rights, the Company may rely on its information system data and temporarily restrict certain operations until resolution. The Company is not obliged to resolve internal disputes between interested parties.
